Terms of Service

Welcome to Capy Studio ("Shinobi Mythic Portraits"), a product of Capybara Ninja Inc. ("Company," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of the Capy Studio website, applications, and services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.

These Terms constitute a legally binding agreement between you and Capybara Ninja Inc. Please read them carefully before uploading any photos or making any purchases.

1. Service Description

Capy Studio is a portrait service that transforms photographs you upload into stylized portrait artwork inspired by Edo-period Japanese aesthetics. The Service operates on an image-to-image transformation model, producing digital portrait files in one of four signature styles ("vibes"): Dojo Legend, Shinobi Noir, Sakura Oath, and Kintsugi Royal.

The Service currently provides digital-only deliverables. Each session produces a watermarked preview at no charge. Paid purchases unlock clean, high-resolution digital downloads. Additional product formats (such as physical prints) may be introduced in the future and will be subject to supplementary terms at that time.

2. Eligibility

You must be at least 18 years of age, or the age of majority in your jurisdiction, to use the Service. If you are under the required age, you may only use the Service with the involvement and consent of a parent or legal guardian who agrees to be bound by these Terms. By using the Service, you represent and warrant that you meet these eligibility requirements.

3. Account and Access

Capy Studio operates on a guest-session model. You are not required to create a traditional account. Instead, you receive a unique guest token and download links associated with your session and purchases. You are solely responsible for safeguarding your guest tokens, order confirmations, and download links. We are not liable for any loss or unauthorized access resulting from your failure to protect these credentials.

If you optionally provide an email address (for receipts or save-for-later functionality), you are responsible for ensuring the accuracy of that email address. We will not share your email address with third parties for marketing purposes.

4. User Responsibilities and Acceptable Use

By using the Service, you agree to the following:

• You must have the legal right to use any photograph you upload. This means the photo must be your own, or you must have obtained explicit permission from the rightful owner or subject.
• You must not upload photographs of individuals without their consent, or photographs of minors without parental or guardian consent.
• You must not upload content that is illegal, obscene, hateful, defamatory, threatening, harassing, or that violates the rights of any third party (including intellectual property and privacy rights).
• You must not attempt to reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, or model weights underlying the Service.
• You must not use automated scripts, bots, or crawlers to access the Service, or attempt to overload, disrupt, or interfere with the Service infrastructure.
• You must not use generated portraits in any manner that violates applicable law, including but not limited to fraud, impersonation, or the creation of misleading deepfake content.

We reserve the right to refuse service, terminate sessions, or remove content at our sole discretion if we determine that your use violates these Terms or is otherwise harmful to the Service or its users.

5. Intellectual Property

Your Content

You retain full ownership of the original photographs you upload. By uploading a photograph, you grant Capybara Ninja Inc. a limited, non-exclusive, temporary license solely to process and transform the image for the purpose of generating your portrait. This license terminates upon deletion of your uploaded photo from our servers.

Generated Portraits

Upon completing a paid purchase, you receive a commercial license to the generated portrait(s) as described in our Commercial License. Unpurchased watermarked previews are provided for evaluation purposes only and may not be used commercially or redistributed.

Our Property

The Capy Studio name, logo, brand identity, website design, user interface, underlying technology, models, and all related intellectual property remain the exclusive property of Capybara Ninja Inc. Nothing in these Terms grants you any right to use our trademarks, trade names, or brand assets without prior written permission.

6. Pricing and Payment

The current price for a Digital Portrait starts at $18.99 USD per portrait. Prices are displayed at the point of purchase and may be updated from time to time at our discretion. Any price changes will not affect orders that have already been completed.

All payments are processed securely through our payment processor. We do not store your credit card details on our servers. By making a purchase, you authorize our payment processor to charge the applicable amount to your chosen payment method. All transactions are in U.S. dollars unless otherwise indicated.

You are responsible for any applicable taxes, duties, or fees imposed by your jurisdiction in connection with your purchase.

7. Refunds

We offer a 14-day satisfaction policy on digital portrait purchases. Full details regarding eligibility, the refund process, processing times, and exceptions are available in our Refund Policy. By making a purchase, you acknowledge that you have read and agree to the terms of our Refund Policy.

8. Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, statutory, or otherwise. To the fullest extent permitted by applicable law, Capybara Ninja Inc. disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising out of course of dealing or usage of trade.

We do not warrant that the Service will be uninterrupted, error-free, or secure, that defects will be corrected, or that the generated portraits will meet your specific expectations regarding likeness, style, or quality. Digital image rendering is inherently variable, and results may differ from session to session.

9. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Capybara Ninja Inc., its directors, officers, employees, agents, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or other intangible losses, arising out of or in connection with your use of or inability to use the Service.

Our total aggregate liability for any and all claims arising under these Terms or in connection with the Service shall not exceed the total amount you have paid to Capybara Ninja Inc. in the twelve (12) months preceding the claim. If you have not made any payments, our maximum liability shall be fifty U.S. dollars ($50.00).

10. Indemnification

You agree to indemnify, defend, and hold harmless Capybara Ninja Inc. and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any rights of a third party, including intellectual property or privacy rights; or (d) any content you upload to the Service.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. Any disputes arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of such courts.

Before initiating any formal legal proceeding, you agree to first attempt to resolve the dispute informally by contacting us at team@capystudio.art. We will endeavor to resolve the matter within thirty (30) days of receiving your notice.

12. Modifications to the Service and Terms

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We may also update these Terms from time to time. When we make material changes, we will update the "Last updated" date at the top of this page. Your continued use of the Service after any such changes constitutes your acceptance of the revised Terms.

We encourage you to review these Terms periodically. If you do not agree with any modifications, your sole remedy is to discontinue use of the Service.

13. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, severed from these Terms. The remaining provisions shall continue in full force and effect.

14. Entire Agreement

These Terms, together with our Privacy Policy, Refund Policy, and Commercial License, constitute the entire agreement between you and Capybara Ninja Inc. regarding your use of the Service and supersede all prior agreements, understandings, and communications, whether written or oral.
